1. Agreement

 1.1.    Welcome to Haven Design Interiors. The terms and conditions set out below apply to you and your usage of the Haven Design Interiors website and associated software, networks and processes, including the purchase of goods or services through the Website. 
1.2.    By using/browsing the Website, or placing an Order, you agree to these Terms and Conditions as set out below.

2. Haven Design Interiors
 2.1.    In these Terms of Use a reference to Haven Design Interiors is a reference to The First Six Pty Ltd trading as Haven Design Interiors (ABN 48 665 608 604) and its related bodies corporate from time to time.

3. Definitions
 3.1.    In these Terms and Conditions:

“Agreement” means these terms and conditions, including all the terms of any order placed by you the User through the Website (if applicable).

“Customer” means the person or legal entity identified in a Haven Design Interiors quote, invoice or sales document.

“Delivery Cost” means the costs associated with delivery as specified in an Order.
 “Goods” means the Products listed on the Website or in an Order.
 “Intellectual Property” means all rights in patent, copyright, trade names, brands, trademarks, logos, designs, images (including still images, and audio and audio-visual media).
 “Material” means any information (including but not limited to data, source codes, and drawings) or images in any form (whether visible or not) stored on or in use with the Website.
 “Pre-sale” means items that are sold in anticipation of being in stock on or near to the dispatch date stated in the Product listing on the Website.
 “Products” means any items listed on the Website (for sale or otherwise), including any extended warranties.
 “Website” means the internet site located at the URL havendesigninteriors.com.au, owned by The First Six Pty. Ltd. and operated by Haven Design Interiors, and any associated websites.

 3.2.    In this Agreement, whenever the singular form is mentioned, it encompasses the plural form; whenever a specific gender is referred to, it encompasses all genders; whenever an act or statute is mentioned, it includes any subsequent Act or statute that supersedes, replaces, or modifies any prior Act or statute; and when referring to persons, it encompasses all entities, whether corporate, incorporated, or otherwise. The paragraph headings are provided solely for reference purposes, and unless explicitly stated otherwise, all mentions of clauses pertain to clauses within this Agreement.

 4. Site Use
 4.1.    The Website may contain links to other third-party web sites which are provided solely for convenience and may not remain current or be maintained. Haven Design Interiors will not be responsible for the content or privacy practices associated with linked web sites.

4.2.    You must ensure that your access to, or use of the Website is not illegal or prohibited by laws which apply to you.
4.3.    You are responsible for implementing necessary safeguards to protect your computer system from potential risks, such as viruses, malicious computer code, or other forms of interference, when accessing the Website. Haven Design Interiors disclaims any liability for any damage that may occur to your computer system in connection with your use of the Website.

5.Intellectual Property

    5.1 Haven Design Interiors retains full ownership of all Intellectual Property associated with any content found on the Website. Unless explicitly granted permission under this Agreement or by other means, you are prohibited from reproducing, adapting, altering, displaying, performing, or distributing any content or any portion thereof.

    6. Product Representations
    6.1.    The descriptions and representations of Products, including but not limited to their features, colours, sizes, and weights, provided on the Website are approximate and may be modified without prior notice. Please note that colours may appear differently on various computer and device screens. If you have specific requirements, such as a particular product colour, size, or any other feature, it is essential to inform us via email at info@havendesigninteriors.com.au, including your name and order number in the communication.

    7. Pricing
    7.1.    All prices listed on the Website are in Australian Dollars, inclusive of GST and applicable taxes, unless otherwise specified.
    7.2.    All prices displayed on the Haven Design Interiors website are subject to change without notice. Prices for items in an Order are fixed once your Order has been confirmed. Subsequent price changes either up or down will not be retroactively applied to confirmed Orders.
    7.3.    If a Discount Code is entered at the checkout, it has the effect of applying a discount equally across the entire Order, excluding any associated Delivery Cost.
    7.4.    You agree to pay delivery charges as they are calculated and listed in your order confirmation at the time of purchase.  
    7.5     Haven Design Interiors reserves the exclusive right to provide free shipping offers, from time to time. Additional delivery charges may apply for shipments to locations categorised as remote by Haven Design Interiors.
    7.6     Haven Design Interiors reserves the right to refuse a sale.

    8. Orders

    8.1.    When you place your Order on the Haven Design Interiors Website, we will issue you with an Order Number. We will do this by email or by text message depending on your preferred contact method. By placing an Order, you make an offer to us to purchase the Products you have selected based on these Terms and Conditions.
    8.2.    Orders will be deemed to have been received by Haven Design Interiors at the time Haven Design Interiors sends an Order confirmation to your nominated email address or mobile phone number.
    8.3.    Haven Design Interiors is an online business and will primarily communicate with customers via email or text message. It is the customer’s responsibility to ensure the correct contact details are entered and that the nominated email address or mobile phone number is regularly checked for correspondence. 
    8.4.    Haven Design Interiors reserves the right to not accept or to cancel Orders that request commercial quantities of Goods. Alternately, commercial quantities of goods may be purchased by contacting info@havendesigninteriors.com.au
    8.5.    Haven Design Interiors, at its sole discretion, may cancel your Order at any time prior to dispatch of the Goods, including Products that are sold on Pre-sale.
    8.6.    In the event of a cancelled Order, funds paid in relation to that Order will be refunded in full as soon as is reasonably practicable.
    8.7.    Haven Design Interiors retains the authority to modify the specifications of the Goods at any time for the purpose of ongoing enhancement, without the obligation to provide prior notice to the Customer. Such alterations do not grant the Customer the right to return Products, cancel an Order, or otherwise evade their obligations and responsibilities as outlined in these Terms and Conditions.
    8.8.    Haven Design Interiors accepts no responsibility for Orders that are declined or not accepted due to disruptions with internet connections, or decline of payment.

    9. Payment
    9.1.    Haven Design Interiors currently accepts Visa/Mastercard, Amex, Union Pay, Direct Deposit via EFT, and PayPal. Personal or company cheques can also be accepted, however goods will not be dispatched until the cheque is cleared. 
    9.2.    Payment for Orders will be processed immediately upon confirmation of your Order, including for Products that are listed as on Pre-sale.
    9.3.    If your nominated payment method triggers Haven Design Interiors internal suspect transaction protocols, Haven Design Interiors may contact you to confirm additional details, or rescind the transaction.

    10. Delivery and ownership of the goods
    10.1.    Haven Design Interiors strives to deliver all goods promptly and punctually. However, occasional delays may occur due to shipping and external factors beyond our control. Such delays can be more prevalent during holiday seasons or times of increased demand. It is important to note that Haven Design Interiors disclaims any liability for any losses or damages experienced by individuals due to such delays.
    10.2.    The date of dispatch listed on the website is the estimated date of dispatch as is reasonably estimated by Haven Design Interiors and is subject to change without notice. 
    10.3.    Haven Design Interiors will not send Goods to addresses designated as PO boxes or to small islands. It is the customer's duty to inform Haven Design Interiors if they need delivery to an island, in which case a tailored delivery quotation will be coordinated.

      10.4.    Once payment in full has been cleared, including any shipping charges, title and risk in the Goods pass to the customer on signing for delivery of the Goods.
      10.5.    Where a customer gives authority for an item to be delivered without a signature, any and all included insurance cover will be voided.
      10.6.    Haven Design Interiors’ nominated courier will deliver Goods during business hours (9am to 5pm, Monday to Friday).
      10.7.    Our standard delivery offer requires the customer to assist the driver with large items. If you are unable, or unwilling, to provide such assistance, please contact info@havendesigninteriors.com.au prior to proceeding with your order. Assistance can be arranged for you at additional cost. 
      10.8.    If you have mutually agreed upon a delivery day with us, and you are unavailable or unwilling to accept the goods, you hereby consent to assume responsibility for any detention, demurrage, return shipping, restocking, and redelivery fees related to such delays. 
      10.9.    Haven Design Interiors is not responsible for the delivery times of Goods. Once Goods have been dispatched, it is the customer's responsibility to liaise with Haven Design Interiors’ nominated courier company in relation to date of delivery and to make themselves available to take delivery during business hours.

      10.10. Should a customer choose to cancel an order, or refuse to accept delivery of an order, after that order has been dispatched, Haven Design Interiors reserve the right to subtract from any refund the cost of shipping both ways as well as a 20% restocking fee.
      10.11. Any requests for postponing the shipment of an order or altering the delivery address, apart from the address initially provided in the order, must be submitted during the order placement. Although we will endeavour to accommodate these requests, Haven Design Interiors cannot assure their fulfillment. In cases where such requests result in extra expenses, the customer agrees to fully reimburse Haven Design Interiors.

      11. Faulty or damaged goods
      11.1.    Haven Design Interiors will repair or replace damaged or faulty Goods in accordance with these Terms and Conditions.
      11.2.    If a Good is found to be faulty within the initial 7 days following delivery or is discovered to be damaged upon delivery, and the customer promptly notifies Haven Design Interiors of such an issue within this 7-day period, Haven Design Interiors will:

        (a) At their sole discretion, either replace or repair the defective Good; or

        (b) If a new replacement cannot be provided, Haven Design Interiors may choose to offer a full or partial refund, contingent upon the extent of damage to the product.

        (c) If a new replacement is available and the customer opts for a refund instead, the refund will be equivalent to the purchase price, excluding the initial Delivery Cost.

        (d) The 7-day duration will commence on the date the customer accepts delivery of their Haven Design Interiors product. In cases where proof of delivery is absent, this date will be considered as 3 business days from the product dispatch date.

        11.3.    Where Goods are already damaged on delivery, Haven Design Interiors requires photographic evidence or footage (whichever is more applicable) of the damage/fault to be emailed to info@havendesigninteriors.com.au before authorising return of the Goods. 
        11.4.    Haven Design Interiors mandates that customers seeking services covered by this warranty adhere to instructions provided by Haven Design Interiors personnel to facilitate the examination of the warranty claim and the potential supply of repairs, spare parts, or replacements by Haven Design Interiors (if applicable). Typically, these instructions will involve the customer providing a comprehensive description of the requested warranty service, along with relevant photos and videos where suitable.
        11.5.   Haven Design Interiors is not required to provide warranty services in accordance with this warranty unless the customer complies with the previous sub-paragraph, as the absence of suitable description and images will prevent Haven Design Interiors from investigating the claim.
        11.6.   Haven Design Interiors reserves sole discretion to determine whether the Goods are faulty or damaged in accordance with this clause 11. 
        11.7.   Should the product be found to be in good working order, Haven Design Interiors may seek reimbursement of any costs incurred.

        12. Refunds and returns, including return policy
        12.1.   Please choose carefully as Haven Design Interiors do not offer refunds for change of mind.

          12.2.    Unless required under applicable law, Haven Design Interiors does not provide refunds. 
          12.3.    Other than in accordance with clause 11, Haven Design Interiors will only accept the return of Goods that have been supplied incorrectly. Please email info@havendesigninteriors.com.au.
          12.4.    The customer must comply with directions from Haven Design Interiors staff to facilitate a return.
          12.5.    Returned Goods must be returned clean, undamaged, unused, and complete in the original packaging with all accessories.
          12.6.    It is the customer’s responsibility to ensure that returned items are returned safely. Haven Design Interiors takes no responsibility for items lost in transit.

          13. Warranties
          13.1.    Each Product sold by Haven Design Interiors comes with a 12-month Haven Design Interiors Standard Warranty when used in a domestic environment, unless otherwise specified on the product page. Products used in a commercial setting are covered by a 3-month warranty. This warranty pertains to manufacturing and material defects but explicitly excludes the following:

            (a) Any damage to the product, regardless of the cause.

            (b) Fading, discolouration of fabric, including issues related to mould or mildew growth. Such issues may occur rapidly if fabrics are left exposed to the elements for extended periods.

            (c) Damage resulting from product abuse, inadequate maintenance, including insufficient weather protection for timber products, or usage of the product in ways not intended by the manufacturer.

            (d) Damage to products due to exposure to foreign substances.

            13.2.    To the extent permitted by law, the warranties referred to in clause 13.1 are in substitution for all other terms, conditions and warranties, whether implied by statute or otherwise (including implied warranties with respect to merchantability and fitness for purpose) and all such terms, conditions and warranties are expressly excluded. 

            13.3.    Haven Design Interiors does not guarantee the availability of spare parts for any products sold, however will utilise its best endeavours to supply spare parts to customers where possible. 
            13.4.    Certain legislation may imply warranties or conditions or impose obligations upon Haven Design Interiors which cannot be excluded, restricted or modified or cannot be excluded, restricted or modified except to a limited extent. These Terms and Conditions must be read subject to those statutory provisions. If those statutory provisions apply, to the extent to which Haven Design Interiors is able to do so, its liability will be limited, at its option to the replacement of the Goods or resupply of equivalent Goods; repair of the Goods; payment of the cost of replacing the Goods or acquiring equivalent Goods; or the payment of the cost of having the Goods repaired.

            13.5     Our products are accompanied by guarantees mandated by the Australian Consumer Law that cannot be omitted. You have the right to receive a replacement or refund for a major product failure, and compensation for any other reasonably anticipated losses or damages. Additionally, you are entitled to have the products repaired or replaced if they do not meet acceptable quality standards, provided that the failure does not constitute a major failure.

            13.6 If Haven Design Interiors chooses to provide a customer with a product replacement, the ongoing warranty duration will be determined based on the purchase date of the original product.

            13.7     In accordance with Australian consumer law, warranties for products supplied by local manufacturers are the responsibility of the manufacturer. Haven Design Interiors will facilitate communication with local manufacturers on behalf of the customer. 

            14. Indemnity
            14.1. By using the Website, you voluntarily waive, release, discharge, and relinquish any and all current or potential claims against Haven Design Interiors that are linked to, stem from, pertain to, or are associated with your Website usage.

              14.2. You consent to indemnify and hold Haven Design Interiors harmless, defending against any claims, losses, damages, taxes, liabilities, and expenses that may arise due to your utilization of the Website or the use of Haven Design Interiors Products outside of the manufacturer's specified guidelines (as outlined in Product manuals and communicated to you periodically).

              15. Liability
              15.1.    To the extent permitted by law, all conditions or warranties expressed or implied by law are excluded and the liability of Haven Design Interiors (in negligence or otherwise) is limited (at the option of Haven Design Interiors) to the resupply of Goods, or the cost of having the Goods supplied again. You agree that Haven Design Interiors shall not be held liable for any indirect or consequential loss.
              15.2.    To the extent permitted by law, all conditions or warranties expressed or implied by law are excluded and the liability of Haven Design Interiors (in negligence or otherwise) is limited (at the option of Haven Design Interiors) to these Terms and Conditions and those listed in related Haven Design Interiors warranties.

              16. Privacy

              16.1.    Haven Design Interiors is committed to protecting your privacy and personal information. Haven Design Interiors will not sell, rent, share, or otherwise disclose personally identifiable information in violation of the commitments set forth in this clause 16.

              16.2. We gather personal information about our customers for the purposes of:
              (a)    marketing, supplying or delivering our products to you;
              (b)    carrying out repair work (both in and out of warranty repairs);
              (c)    improving and developing our products; and
              (d)    expanding our business.

              16.3.    In the process of dealing with our customers, we may collect and hold the following types of information:
              (a)    Information about persons who are customers or target customers as given to us by those persons, or information obtained from public domain sources such as magazines and newspapers.
              (b)    Information about roles, means of communication with, and personal attributes of officers, employees and other representatives of corporations with whom we deal, collected incidentally in the course of dealing with those corporations.
              16.4.    The aforementioned information may be held in electronic records in data storage systems and hard copy which permit lawful access only by those company officers, employees and contractors who need access to perform their functions. 
              16.5.    We may, from time-to-time, employ other companies and individuals to perform functions on our behalf. For example, we may retain a third-party repairer to provide warranty repair. In these circumstances we may disclose personal information to such companies and individuals to enable them to deliver services on our behalf.
              16.6.    You are able to request access to your personal information, in accordance with the National Privacy Principles in the Privacy Act 1988. If you wish to access your personal information, please contact us at by email at info@havendesigninteriors.com.au.

              17. General
              17.1.    Haven Design Interiors retains the right to modify the Haven Design Interiors Website and Order Terms and Conditions without prior notification.

                17.2. If any provision within this Agreement is deemed void or unenforceable, it may be removed from this Agreement without affecting the enforceability of other provisions.

                17.3. The failure or delay by Haven Design Interiors in exercising a power or right under this Agreement does not waive that power or right, and the utilization of a power or right by Haven Design Interiors does not impede its ability to exercise that power or right or any other in the future.
